M0846512MBBP Partner Mike Cavaretta is pleased to announce that he has co-founded The Startup Coalition, a group of seasoned business professionals serving as a resource to the Boston-area startup community, with offices at WeWork South Station in Boston. Members of The Startup Coalition represent a variety of service industries, and collectively cover virtually all of the key services that startup entrepreneurs and companies need.

These will include monthly investor pitch practice sessions, office hours, workshops, panels, and networking events. The first of these events, a panel on Mistakes Entrepreneurs Make When Pitching to Investors, will be held on Wednesday, November 11, 2015, and will feature MBBP Partner John Hession, GrandBanks Capital Partner Tim Wright, and Hub Angels member Charlie Cameron.

Corporate Attorney Joseph MartinezMBBP Corporate attorney Joe Martinez has been elected to the MIT Enterprise Forum of Cambridge Board of Directors. Joe takes over a seat formerly held by MBBP’s Jon Gworek, a longtime participant in MITEF.

The mission of the MIT Enterprise Forum is to inform, connect, and coach technology entrepreneurs—enabling them to rapidly transform ideas into world-changing companies, which makes it a natural fit with MBBP and our attorneys. While certainly not restricting our client base to start-ups and tech companies, we have always had a particular understanding of the needs common to them. 2015-03-12_9-40-31MBBP client OtoSense, a Cambridge-based start-up, has recently been recognized for its sound recognition technology. The company has developed an app that enables hearing impaired end users to select various traditional sounds such as bells, alarms, timers, etc. that occur within an everyday environment and then identify such sounds as they occur and alert the end user via non-acoustic means such as flashes, vibrations or text messages. Selected out of more than 800 entries and judged by a panel of international experts, the start-up won the “Best Mobile App of the Year” Global Mobile Award, in the category of Accessibility & Inclusion, at the 20th annual GSMA Global Mobile Awards.

hessionMBBP is pleased to announce that veteran venture capital, technology, and life sciences attorney John Hession has joined the firm as a Member. John represents emerging-growth companies in the medical device, life sciences, software and digital media fields, as well as angels and venture capital funds in the investment process in these areas. His practice includes both start-up and later-stage company work; equity-based compensation strategies; public offerings, representing either underwriters or companies; mergers and acquisitions, representing either buyers or sellers; corporate partnering, joint ventures and other strategic alliances involving technology transfers; license and distribution arrangements for medical devices and biotechnology, software and hardware companies; and venture capital or angel financings of technology companies.

Prior to joining MBBP, John was Of Counsel in the Venture Financings and Emerging Companies practice groups and a member of the Cooley, LLP Business department. Corporate and Tax Attorney Charles Wry, Jr.

Thomson Reuters has published an article written by MBBP’s Chip Wry in its November/December issue of Business Entities.  Chip’s article, entitled Tax Consequences of Issuing Convertible Notes for a Start-Up LLC, considers certain negative tax aspects of a start-up LLC’s use of convertible notes to raise seed financing.

2014-10-23_13-28-36MBBP joins MIT Enterprise Forum of Cambridge and CHEN PR in hosting the upcoming Beantown Throwdown in November.  Students from top colleges and universities in Massachusetts will pitch off their innovative ideas for start-up companies.  Students representing Babson, Berklee, Boston University, Boston College, Harvard, MIT, UMass Lowell, Northeastern and Wentworth will have 3 minutes to present their ideas to attendees who will then invest in their favorite companies with fake cash. The top three start-up companies with the most “money” invested will win various prizes and take part in a discussion panel the following evening.
