Jon Gworek will be moderating a panel on corporate venture capital (CVC) at the ABA Business Law Section Spring Meeting in Vancouver later this week. Whereas a traditional venture capital firm is investing purely to maximize ROI, CVC investors may also invest for strategic reasons. This gives rise to the potential for conflicts of interest and a heightened sensitivity in the negotiations with respect to certain terms and conditions – control and information rights in particular. In addition, the CVC investor also frequently requires certain rights in connection with an M&A event. The panel will discuss these and other aspects of CVC transactions. Experts joining Jon include Sandi Knox from Sidley Austin, Kelly Warrick from GE Ventures, and John Mark Zeberkiewicz from Richards Layton & Finger.
